1. Agreement to these terms
These Terms of Use ("Terms") govern your access to and use of the website located at cognivertex.pro, any subdomains, platform demonstrations, documentation portals and related services operated by CogniVertex Inc. ("CogniVertex", "we", "us" or "our"), an Ontario corporation with registered office at 8 King Street East, Suite 100, Kitchener, ON N2G 2K6, Canada (Business Number 839284756ON0001). By accessing our website, requesting a platform briefing, enrolling in a pilot programme or using any CogniVertex service, you agree to be bound by these Terms, our Privacy Policy and our Cookie Policy. If you do not agree, you must not use our website or services.
Where you enter into a separate written service agreement, master services agreement or order form with CogniVertex, that agreement governs platform subscription terms to the extent of any conflict with these website Terms. These Terms apply to all visitors, enquirers and general users of our public-facing properties.
2. Description of services
CogniVertex provides an applied cognitive AI platform designed for Canadian operations teams, product managers and business analysts. Our platform modules include intelligent search across enterprise knowledge bases, document intelligence pipelines, decision-support copilots, workflow-aware AI assistants and enterprise model orchestration tools. We deliver onboarding workshops, integration engineering, governance frameworks and ongoing platform support through structured programme tiers (CVX-101 through CVX-601).
CogniVertex is a product-led applied cognitive AI platform — not a marketing agency, web design studio, IT outsourcing firm or generic SaaS vendor without substantive AI capability. Descriptions, screenshots and case illustrations on this website are representative of platform capabilities and may not reflect every customer's configuration. Specific deliverables, service levels and module availability are defined in your service agreement or order form.
3. Eligibility and account registration
You must be at least eighteen years of age and have the legal authority to enter into binding agreements to use our services. Access to authenticated platform workspaces requires registration and acceptance of a service agreement. You agree to provide accurate, current and complete information during registration and to keep your account details up to date. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorised access.
We reserve the right to refuse registration, suspend accounts or terminate access where we reasonably believe terms have been violated, fraudulent activity has occurred or continued access poses a security risk to the platform or other customers.
4. Acceptable use
You agree to use the CogniVertex website and platform only for lawful purposes and in accordance with these Terms. You must not:
- use the platform to process, generate or distribute content that violates applicable federal, provincial or municipal law;
- attempt to gain unauthorised access to systems, workspaces, APIs or data belonging to CogniVertex or other customers;
- reverse engineer, decompile or disassemble platform components except where expressly permitted by applicable law;
- upload malware, exploit code or any material designed to disrupt platform integrity;
- use automated scraping tools on our website in a manner that imposes unreasonable load on our infrastructure;
- resell, sublicense or redistribute platform access without prior written authorisation from CogniVertex;
- misrepresent your affiliation with CogniVertex or use our trademarks without permission;
- interfere with or disrupt the experience of other users or the security of our services.
We may investigate suspected violations and cooperate with law enforcement where required. Violations may result in immediate suspension or termination of access without refund, subject to your service agreement.
5. Intellectual property
CogniVertex retains all right, title and interest in the platform software, documentation, training materials, website content, logos, trade names and other intellectual property we create or license. Nothing in these Terms transfers ownership of CogniVertex intellectual property to you. You retain ownership of your business data, documents and content that you upload or connect to the platform. You grant CogniVertex a limited, non-exclusive licence to process your data solely to provide services described in your agreement and as outlined in our Privacy Policy.
Feedback, suggestions or improvement ideas you provide may be used by CogniVertex without obligation or compensation, provided we do not publicly attribute confidential information you designate as such in writing.
6. Fees, billing and taxes
Platform fees, programme tiers and professional services rates are stated in Canadian dollars (C$) unless otherwise specified in your order form. Payment terms, invoicing schedules and renewal conditions are defined in your service agreement. Late payments may incur interest at 1.5% per month or the maximum rate permitted under Ontario law, whichever is lower. We may suspend platform access for overdue accounts after providing reasonable written notice.
All fees are exclusive of applicable federal and provincial taxes unless stated otherwise. You are responsible for any goods and services tax (GST), harmonized sales tax (HST) or other taxes associated with your purchase, except taxes based on CogniVertex net income.
7. AI outcomes disclaimer
CogniVertex provides applied cognitive AI tools for business intelligence, document processing and workflow augmentation. Platform outcomes depend on data quality, integration depth, configuration choices, team adoption, governance maturity and human oversight. We do not guarantee specific revenue increases, cost savings, regulatory approvals, accuracy in every context or particular business results.
Metrics, benchmarks and illustrative outputs shown on this website or in demonstrations are representative examples and may not reflect your organisation's results. Artificial intelligence and machine learning systems have inherent limitations including potential for errors, hallucinations, bias and context misinterpretation. You are solely responsible for reviewing, validating and acting upon platform outputs before making operational, legal, financial or compliance decisions.
CogniVertex is not a marketing agency, web design studio, IT outsourcing firm or generic SaaS vendor without AI substance. Our platform is designed to augment human decision-making, not replace professional judgement in regulated or high-stakes domains. Do not rely on AI-generated content from our platform for legal, medical, financial or safety-critical decisions without qualified human review.
8. Warranties and disclaimers
To the maximum extent permitted by Ontario law, the CogniVertex website and platform are provided on an "as is" and "as available" basis. We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that services will be uninterrupted, error-free, secure from all threats or free of harmful components.
Sandbox environments, pilot programmes and demonstration workspaces may have reduced availability, feature limitations or data retention constraints as described in your agreement. Beta or preview features are provided without warranty and may be modified or discontinued at our discretion.
9. Limitation of liability
To the maximum extent permitted by applicable law, CogniVertex Inc. and its officers, directors, employees, contractors and agents shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data, goodwill or business opportunities, arising from or related to these Terms or your use of our services, even if we have been advised of the possibility of such damages.
Our total aggregate liability for any claim arising from these Terms or your use of the website and platform shall not exceed the greater of (a) the fees paid by you to CogniVertex in the twelve months preceding the event giving rise to the claim, or (b) five thousand Canadian dollars (C$5,000). Some jurisdictions do not allow the exclusion or limitation of certain damages; in such cases, our liability is limited to the fullest extent permitted by law.
10. Indemnification
You agree to indemnify, defend and hold harmless CogniVertex Inc. and its officers, directors, employees and agents from and against any claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising from: your use of the platform; your violation of these Terms; your violation of any applicable law or third-party right; content or data you submit to the platform; or decisions you make based on platform outputs without adequate human review.
11. Confidentiality
Each party agrees to protect the other's confidential information using at least the same degree of care it uses for its own confidential information, and in no event less than reasonable care. Confidential information may be used only for purposes of evaluating or performing the service relationship. Confidentiality obligations survive termination of the service relationship for three years, except for trade secrets which remain protected for as long as they qualify as trade secrets under applicable law.
12. Data protection and privacy
Personal information collected through our website and platform is handled in accordance with our Privacy Policy and the Personal Information Protection and Electronic Documents Act (PIPEDA). Enterprise customers may execute a data processing addendum specifying additional terms for business data processed through platform modules, including data residency, subprocessors and breach notification requirements.
13. Third-party services and integrations
The CogniVertex platform may connect to third-party systems, APIs, cloud providers and model endpoints as configured in your workspace. We are not responsible for the availability, security or practices of third-party services outside our reasonable control. Your use of third-party integrations is subject to those providers' terms and privacy policies. Integration engineering services are scoped in your service agreement and statement of work.
14. Term, suspension and termination
These Terms remain in effect while you access our website or use our services. Platform subscription terms, renewal periods and termination rights are specified in your service agreement. We may suspend or terminate website or platform access immediately where you breach these Terms, fail to pay fees when due, pose a security risk or where required by law. Upon termination, your right to access the platform ceases and we will handle your data in accordance with our retention policy and service agreement.
15. Governing law and jurisdiction
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. You irrevocably attorn to the exclusive jurisdiction of the courts of the Province of Ontario for the resolution of any dispute arising from or relating to these Terms or your use of our website, subject to the dispute resolution process below.
16. Dispute resolution
Before initiating legal proceedings, the parties agree to attempt good-faith resolution through direct negotiation for a period of thirty days from written notice of the dispute. If the dispute remains unresolved, the parties may submit the matter to mediation administered in Kitchener, Ontario before pursuing litigation. Nothing in this section prevents either party from seeking injunctive or equitable relief in court where necessary to prevent irreparable harm.
17. Modifications to these Terms
We may update these Terms from time to time by posting a revised version on this page with an updated "Last updated" and "Effective from" date. Material changes affecting active service agreements will be communicated to customers via email or in-platform notice. Your continued use of the website after the effective date of revised Terms constitutes acceptance of the changes. If you do not agree to revised Terms, you must stop using our website and contact us regarding any active service agreement.
18. General provisions
These Terms, together with your service agreement (if any), our Privacy Policy and Cookie Policy, constitute the entire agreement between you and CogniVertex regarding use of our public website. If any provision is found unenforceable, the remaining provisions remain in full force. Our failure to enforce any right or provision is not a waiver of that right. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition or sale of assets upon notice to you.
